These Terms of Service ("Terms") govern your access to and use of the website https://thrasoz.com (the "Site"), any online tools or dashboards we may provide (e.g., reporting or IRS transcript access), and the professional services offered by Thrasoz Group ("Thrasoz," "we," "us," or "our"), including ERC audit defense and resolution, tax incentive advisory, operational execution support, and related services.

Thrasoz Group operates as a doing business as (DBA) name of Get Refunds Inc., the legal entity providing these services.

By accessing the Site, using any online tools, or engaging our services (including via retainer quotes or assessments), you agree to these Terms. If you do not agree, please do not access the Site or engage our services.

We may update these Terms at any time. Continued use constitutes acceptance of changes. It is your responsibility to review them periodically.

Use of the Site and Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and any provided online tools for informational and engagement purposes, subject to these Terms.

IRS e-Services and Client Authorizations

Our services may involve accessing data (including personal and tax-related information) from the Internal Revenue Service (IRS) e-Services. You must complete and adhere to required client authorization forms. We are not responsible for any changes, terminations, outages, or unavailability of IRS e-Services, even if they impact our services.

Scope of Services

Services are provided only for the specific entities and Employer Identification Numbers (EINs) identified in your retainer quote or agreement. Separate retainers and quotes are required for additional entities or EINs (including within the same corporate family or investment portfolio). No retainer automatically extends to unnamed affiliates, portfolio companies, or other entities.

Your Privacy

Please review our Privacy Policy at https://thrasoz.com/legal/privacy-policy/, which governs how we collect, use, and protect your information. It is incorporated into these Terms.

Engagement and Payment

Services are provided on a retainer basis as detailed in your specific quote or agreement (e.g., initial retainer plus ongoing monthly fees). For ERC services, retainers are typically priced per EIN, scaled by peak employee headcount during qualifying periods (Q2 2020–Q3 2021).

Additional services beyond the agreed scope (including hourly professional work or additional EINs/entities) will be quoted separately and billed at our standard rate of $900 per hour. We will notify you in writing before incurring significant additional hours.

Payments are processed via Stripe and are non-refundable except as expressly stated in your agreement. No separate purchase order is required.

Acceptable Use

You agree not to:

• Access IRS data without proper authorizations.
• Share confidential data inappropriately.
• Use the Site, tools, or services for unlawful purposes.
• Interfere with the Site/tools or impose unreasonable loads on our systems.
• Engage in fraudulent, abusive, or disruptive behavior.

Termination

Either party may terminate services with written notice as specified in your retainer agreement or quote. Termination does not relieve obligations for fees incurred prior to termination (including for covered EINs/entities). We may suspend or terminate access to the Site or services at our discretion if these Terms are violated.

Cooperation

You agree to provide full cooperation, including reasonably requested data and documents (per EIN where applicable), to enable us to deliver services effectively.

Intellectual Property

Each party retains all rights to its pre-existing intellectual property. No licenses are granted beyond the limited access described herein.

Limitation of Liability

We provide specialist advisory and representation services but cannot guarantee outcomes with the IRS, regulatory bodies, or operational results.

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits. Our total liability shall not exceed fees actually received from you for the relevant services.

We are not responsible for third-party services, links, or tools (including IRS e-Services).

No Warranty

Services, the Site, and any online tools are provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee availability, accuracy, or results.

Outages and Availability

We may schedule downtime for maintenance. Unplanned outages may occur. We are not liable for unavailability of the Site, tools, or services, or any resulting loss.

Confidentiality

Both parties agree to protect Confidential Information (broadly defined to include business, client, and tax data) with reasonable care. Obligations survive for three years post-termination (except for personal information governed by our Privacy Policy).

IRS Circular 230 Disclosure

Any tax advice provided in our services or communications is not intended or written to be used, and cannot be used, for the purpose of (i) avoiding tax-related penalties under the Internal Revenue Code or (ii) promoting, marketing, or recommending to another party any matters addressed herein.

Secure Transfer of Information

All sensitive data transfers must use secure channels.

General Provisions

These Terms, together with your specific retainer quote and any applicable agreements (e.g., ERC Audit Defense Agreement), constitute the entire agreement.

Governing Law: Florida, without regard to conflict of laws principles.

Dispute Resolution: Any disputes shall be resolved through binding arbitration in Miami, Florida, on an individual basis (no class actions).

No waiver of any provision shall be effective unless in writing.

If any provision is unenforceable, the remainder shall continue in effect.
